Terms of Service

1. Acceptance of Terms

By accessing or using Vendi's omnichannel communication platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

Vendi provides a unified platform for managing customer conversations across multiple messaging channels including WhatsApp Business API, Facebook Messenger, Instagram Direct, Telegram, and TikTok. Our Service includes AI-powered features, team collaboration tools, and analytics.

3. Acceptable Use Policy

Mandatory Consent: You must obtain proper user consent before initiating conversations. All messaging must comply with applicable laws and messaging platform policies.

4. Account Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old to use the Service
• One person or entity per account
• You are responsible for all activities under your account

5. Billing and Payment

• Subscription fees are billed monthly or annually in advance
• All fees are in USD unless otherwise stated
• Fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in service suspension
• You are responsible for all applicable taxes

6. Data Ownership

You Own Your Data: All customer conversation data, contact information, and business data you input into Vendi remains your property.

• Vendi acts as a Data Processor, not a Data Controller
• We process data solely on your behalf and per your instructions
• You grant us a limited license to process data to provide the Service
• You can export your data at any time
• Upon termination, we will delete your data per our retention policy

7. Third-Party Integrations

Vendi integrates with third-party platforms (WhatsApp, Facebook, Instagram, Telegram, TikTok). You agree to:

• Comply with all third-party platform terms and policies
• Obtain necessary accounts and permissions
• Take responsibility for your use of third-party platforms
• Understand that third-party service interruptions may affect Vendi functionality

8. Service Level and Uptime

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for third-party platform outages
• Pro plan customers receive SLA guarantees per their contract

9. Intellectual Property

Vendi and its Service, including all software, designs, text, graphics, and other content, are owned by Vendi Inc. and protected by intellectual property laws.

• You may not copy, modify, or reverse engineer the Service
• You may not use Vendi's trademarks without permission
• You retain all rights to your content and data

10. Account Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• You engage in spam or unsolicited messaging
• You fail to pay fees when due
• We are required to do so by law
• Your use poses security or liability risks

You may cancel your subscription at any time. Cancellation takes effect at the end of the billing period. No refunds for partial periods.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Vendi is provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the last 12 months
• We are not responsible for third-party platform actions or outages
• You are responsible for backing up your data

12. Indemnification

You agree to indemnify and hold harmless Vendi from any claims arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party rights, or (d) your content and data.

13. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand our data practices.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of Canada.

Arbitration: Any disputes shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or Service notification. Continued use after changes constitutes acceptance.
